THIS COAL SUBLEASE is made and entered into as of the
1st day of May 1980, between FLATIRON PAVING COMPANY,
of Boulder, Colorado, and FLATIRON COMPANIES, d/b/a WALDEN
COAL COMPANY, of Boulder, Colorado, hereinafter referred to
as "WALDEN COAL COMPANY."
RECITALS AND INCORPORATION OF LEASES AND SUBLEASES
Flatiron Paving Company, by SUBLEASE entered into
December 29, 1978, and ASSIGNMENT AND ACCEPTANCE entered
into March 1, 1979, between H-E Lowdermilk Co. and Flatiron
Paving Company, subleased premises described as follows:
South Half of the Southeast Quarter of Section 7
and the North Half of the Northeast Quarter of
Section 18, Township 9 North, Range 78 hest, in
Jackson County, Colorado,
for the purpose of investigating, exploring, prospecting,
drilling, mining, producing, transporting and marketing coal
and other solid minerals. Said Sublease and said Assignment
and Acceptance are incorporated herein and are attached as
Exhibit I (Sublease), and Exhibit II (Assignment and Accept-
ance). Said Sublease and said Assignment and Acceptance
shall together be referred to herein as the "H-E Lowdermilk
Sublease." The H-E Lowdermilk Sublease refers to and in-
corporates two coal leases dated May 10, 1978, in which H-E
Lowdermilk Company is the Lessee of the above-described
premises. Those leases, including amendments, referred to
in the H-E Lowdermilk Sublease as the "Bourg Lease" (Ex-
hibits A and C to the H-E Lowdermilk Sublease) and the
"Knowles Lease" (Exhibits B and D to the H-E Lowdermilk
Sublease), are also incorporated by reference into this Coal
Sublease and shall be referred to as the "Bourg Lease" and
the "Knowles Lease."
FLATIRON PAVING COh1PANY NOT IN DEFAULT
• All payments due H-E Lowdermilk Company as of the date
of execution of this Coal Sublease under the terms of the H-
E Lowdermilk Sublease and amendments thereto have been paid
