ASSIGNMENT OF FEDERAL COAL LEASES <br />~~ <br />Lodestar Energy, Inc. a Delaware corporation ("Assignor"), acting by and through <br />its duly appointed bankruptcy trustee, William D. Bishop ("Trustee"), for $10.00 and <br />other good and valuable consideration, receipt of which is hereby acknowledged, <br />hereby assigns to Cental Appalachia Mining, LLC, a Kentucky Limited Liability <br />Company, having an address of 116 Main Street, Rogers Building, Pikeville, KY <br />("Assignee"), all of Assignor's right, title and interest in, to and under Federal Coal <br />Leases COC-0125439, COC-0125515 and COC-0125516. <br />Assignee hereby accepts the assignment of the Federal Coal Lease and agrees <br />hereafter to keep and perform all of the Assignor's covenants and obligations pursuant <br />thereto. _ <br />The representations and warranties contained in the Deed and Assignment, <br />between Assignor and Assignee relating to the Federal Coal Leases are incorporated <br />herein by reference. The Deed and Assignment is recorded in Book 3370 at Page 429 <br />in the real property records of Mesa County, Colorado. <br />This Assignment does not supersede or waive any contractual remedy between <br />Assignor and Assignee. Such remedies are in addition to and are not merged into this <br />instrument. This Assignment shall bind the legal representatives, successors and <br />permitted assigns of the Assignor. <br />This Assignment is subject to and contingent upon the approval of the United <br />States Bureau of Land Management. <br />IN WITNESS WHEREOF, Assignor has executed this Assignment effective as of <br />June Z~, 2003 <br />ASSIGNOR: <br />Lod'esta1r Energy, Innc. <br />t-._/~ i ~ <br />William D.
