<br />as the result of any work or operations of Sutherland or of its <br />possession and occupancy of the Subject Property. A lien upon the <br />property shall consititute a default if not removed within ten (10) <br />days of notice. <br />10. Taxes. ldhile this Agreement is in effect, and except <br />as provided hereinafter, Sutherland shall promptly pay all property <br />taxes, assessments and other povernmental charges imposed upon the <br />Subject Property, the sand and gravel removed, and upon any <br />structures, facilities, equipment and personal property located or <br />erected thereon by Sutherland, and Sutherland shall pay the same <br />before they are delinquent, Sutherland shall have the right to <br />contest in the courts or otherwise, the validity or amount of any <br />taxes or assessment if Sutherland deems the same to be unlawful, <br />unjust, unequal or excessive, or to take such other steps or <br />proceedings as Sutherland may deem necessary to secure a <br />cancellation, redu tion, readjustment or equalization thereof <br />before Sutherland shall be required to pay the same, but in no <br />event shall Sutherland permit or allow title to the Subject <br />Property to be lose as the result of nonpayment of any taxes. <br />11. Default and Forfeiture. The failure of Sutherland to <br />make or cause to be made any of the payments herein provided for <br />or to keep or perform any agreement on its part to be kept or <br />performed according to the terms and provisions of this Agreement <br />shall, at the election of Lessors constitute an event of a default. <br />Upon such event of default, Lessors shall give to Sutherland a <br />written notice of its intention to declare a forfeiture of this <br />Agreement and to terminate the same on account thereof, specifying <br />the particular default or defaults relied upon by it, and <br />Sutherland shall have a reasonable time (which in any case shall <br />not be less than thirty (30) days) after receipt of such notice in <br />which to contest, or to make good, or commence to cure such default <br />or defaults, in which event there shall be no forfeiture therefor. <br />If Sutherland contests such default occurred, it shall so advise <br />Lessors in writing within thirty (30) days after receipt of the <br />(4) <br />
