The closing of the sale of the Property <br />• (except for the Mined Land) from Seller to Buyer <br />(the "Closing") shall take place in the offices <br />of the Title Company at 10:00 AM MDT on <br />October 2, 1995. <br />B. Paragraph 15 (A) of the Agreement is hereby <br />amended to read as follows: <br />(A) Buyer shall pay to Seller the <br />Closing Payment and Buyer shall execute and <br />deliver to Seller the Note and the Deed of Trust. <br />C. Paragraph 15(C) of the Agreement is hereby <br />amended to read as follows: <br />(C) ABR <br />for the Water <br />for the Mined <br />thereto) to B~ <br />warranty deed <br />hereto and by <br />(the "Deed"). <br />shall convey the Property, except <br />Rights relating thereto (and except <br />Land and the Water Rights relating <br />iyer by a duly executed special <br />in the form of Exhibit E-1 attached <br />this reference made a part hereof <br />D. Paragraph 15 (D) of the Agreement is hereby <br />amended to read as follows: <br />(D) ABR shall convey the Water Rights <br />(except for the Water Rights relating to the <br />Mined Land) to Buyer by a duly executed quitclaim <br />deed in the form of Exhibit F-1 attached hereto <br />and by this reference made a part hereof. <br />E. Paragraph 15(E) of the Agreement is hereby <br />amended to read as follows: <br />(E) Seller shall assign to Buyer all of its <br />right, title, and interest in, to, and under the <br />Agricultural Leases and the Additional Documents <br />(except to the extent the same relate to the <br />Mined Land), and-Buyer shall assume all <br />obligations of Seller arising thereunder from <br />and after the date of the Closing, by an <br />instrument in form reasonably acceptable to both <br />Buyer and Seller. <br />F. Paragraph 15(G) of the Agreement is hereby <br />amended to read as follows: <br />(G) Seller shall, at Seller's expense, <br />cause the Title Company to deliver to Buyer an <br />unconditional written undertaking to issue to <br />Buyer its ALTA Form B Owner's Policy of Title <br />Insurance (Rev. 1992) (the "Owner's Policy") <br />-5- <br />
