processed or to be processed, whether from the Property or from other properties on which the <br />Company is conducting operations. <br />5. Advance Minimum and Production Royalties. The Company is obligated to pay <br />annual minimum amounts to maintain the lease in effect ("Advance Minimum Royalty") and to <br />pay production royalty. Amounts paid as Advance Minimum Royalty shall be credited as an <br />advance payment of and applied to reduce Material tonnages otherwise subject to the production <br />royalty. <br />6. Right of First Refusal. Under the Lease, if at any time during the term of Lease <br />Lessor receives an offer to purchase all or any portion of the Property or any interest therein for a <br />price and on conditions that Lessor is willing to accept, then Lessor shall give the Company <br />notice of such offer and a copy of the offer, and the Company shall have thirty (30) days after <br />receipt of such notice to elect to match the offer, and the Company and Lessor shall thereafter <br />close the purchase and sale of the Property or relevant portion thereof in accordance with such <br />offer or as they may otherwise agree. <br />7. End of Term. Under the Lease, the Company has (a) the right and obligation <br />within six months from the date of the expiration or termination of the Lease to dismantle and <br />remove machinery, equipment, improvements, and other facilities, including any batch plant, <br />installed or constructed on the Property and also to sell and remove Materials then stockpiled on <br />the Property, and (b) the right to access and enter the Property and effect on the Property such <br />restoration, rehabilitation and reclamation as may be required to discharge the responsibilities <br />which the Company has assumed pursuant to its permits and the Lease and to procure the release <br />of any bond or other financial assurance provided by the Company. <br />8. Additional Information. This Memorandum is executed solely for providing <br />notice of the existence of the Lease.
