II. <br />INLET AND OUTLET EASEMENTS <br />A. Grantor grants an easement to the Grantee or its assignee(s), for pipeline as <br />needed to operate the Reservoir(s). Grantor hereby consents to the use of such easement(s) for <br />an inlet and outlet pipeline for the Reservoir. Grantee shall have the right to install such <br />regulation or measuring devices as needed within the twenty-five (25) foot perimeter. <br />B. Operation and maintenance of the water conveyance structures, inlet, and outlet <br />described above shall be the responsibility of Grantee. <br />III <br />INGRESS AND EGRESS EASEMENTS <br />A. Grantor hereby conveys to Grantee ingress and egress to the Reservoir(s) for <br />purposes of inspection, operation, installation, maintenance, repair, and replacement of the <br />facilities which includes such uses by vehicle. <br />B. Grantee may use such easement for the purpose of installing utilities but only <br />those necessary to operate the storage facility. All such utilities shall be buried at least sixty <br />inches (60) under the surface. <br />IV <br />GENERAL CONSIDERATIONS APPLICABLE TO ALL <br />EASEMENTS CONVEYED BY THIS AGREEMENT <br />A. Grantor hereby retains the right to all recreational uses of the land and water <br />surface including hunting, fishing, swimming and boating, and retains the right to all other uses <br />of the land and water surface not inconsistent with the Easement granted to Grantee. The <br />following uses or actions shall be considered inconsistent with the easement granted to Grantee: <br />(1) the location of structures, planting of trees, or other vegetation that may effect the slurry wall, <br />inside the perimeter of the slurry wall or within twenty-five (25) feet of the outside perimeter of <br />the slurry wall; (2) the penetration of the slurry wall by any pipe, utilities or other objects; (3) <br />the pasturing of livestock; (4) any other action that causes or may cause damage to or <br />interference with the operation of the slurry wall, integrity of the pit as a storage vessel or the <br />water diverted and stored. In no event shall Grantee be required to maintain and raise or lower <br />the water level in the lake to accommodate Grantor's uses. Each party shall be liable for its own <br />acts and negligence. Grantor shall maintain at all times general liability insurance on the <br />premises with limits of liability not less than $300,000.00. General liability insurance may be <br />arranged under a single policy for the full limits required or by a combination of underlying <br />policies with the balance provided by an excess or umbrella liability policy. The foregoing <br />policies shall contain a provision that coverage afforded under the policies will not be canceled <br />or renewed until at least thirty (30) days prior written notice has been given to Grantee. <br />Certificates of Insurance showing such coverage to be in force shall be filed with Grantee. <br />
