5/13/81 <br />• Anchor shall have the option for sixty (60) days after <br />termination to have Bear assign to it any governmental permits <br />or authorizations held by Beac, and to purchase from Hear at <br />fair market value any equipment or machinery used by Bear, in <br />connection with coal mining operations on the properties <br />subject to the Sublease or the Roberts Lease. If Anchor wishes <br />to exercise the option, it shall do so by delivering written <br />notice of same to Bear within that sixty (60) day period. The <br />notice shall describe the permits to be assigned, the equipment <br />or machinery to be purchased, and the proposed purchase price <br />at same. Promptly after receipt of Anchor's notice, Bear shall <br />exercise its best efforts to assign to Anchor the permits <br />described in Anchor's notice. Bear shall also promptly execute <br />and deliver to Anchor a bill of sale and zny other instruments <br />necessary to convey to Anchor clear title to the equipment and <br />,nachinery described in Anchor's noti^e, and Anchor shall pay <br />• the purchase price to Sear. If Bear disagrees with the <br />purchase price described in Anchor's notice, it shall advise <br />Anchor within seven (7) days after receipt of the notice and <br />shall specify what it believes the fair market value should <br />be. If Bear and Anchor cannot agree on the fair market value <br />within the next thirty (30) days, they shall select a <br />disinterested third party experienced in the underground coal <br />mining business to provide a written appraisal of the fair <br />market value of the equipment and machinery described in <br />Anchor's notice. The results of that appraisal shall be <br />binding on both parties, and the cost of the appraisal shall be <br />borne by the patty whose proposed purchase price was farthest <br />from the appraisal price. <br />9. Notices.
