The undersigned, being first duly sworn upon their oath,
state that upon their own knowledge the following facts are true:
1. On the 15th day of November, 1988, WEAVER RANCH, INC. a
Colorado Corporation, the mailing address of which is 3000 West
County Road 70, Fort Collins, Colorado 80526 (hereinafter
referred to as "the Seller") granted to COLORADO LIEN COMPANY, a
Colorado Corporation, the mailing address of which is Post Office
Box 1961, Fort Collins, Colorado 80522 (hereinafter referred to
as "the Purchaser") an option (hereinafter referred to as "the
Option") to purchase the real property which is legally described
on Exhibit "A" attached• hereto and incorporated herein by
reference (hereinafter referred to as "the Property"). The
essential terms of the Option are as follows:
A. The Option provides for a term of one (1) year,
commencing on November 1, 1988, and ending on October 31, 1989.
B. The Option grants to the Purchaser the irrevocable
right, privilege, and option to purchase the Property from the
Seller.
2. This Memorandum of Real Estate Option Agreement shall
be binding upon and inure to the benefit of the parties hereto
and their respective successors and assigns.
IN WITNESS WHEREOF the parties hereto have executed this
Memorandum on this IS day of November, 1988.
