Assignment by I,cssce of this Lease shall be snhjcct to <br />approval by Lessors based upon the financial, technical and operational cap?hilities of the <br />assignee to perform and comply with the terms hereof, but which approval slot! not be <br />unreasonably withheld. Notwithstanding the restrclion on assignment as forth I+crein, the <br />rights of the Lessee shall be freely assignable, without consent of Lessors to working <br />interest owners, provided, however, that such assignments would be effective only upon <br />receipt of written notice of assignment by Lessors. <br />10. Taxes. Lessee shall pay all ad valorem or other property lazes levied and <br />assessed against tl.e Leased Premises. Lessee shall also pay all production, excise, <br />severance and other taxes that now or hereafter may be levied and computed on the <br />amount or value of coal which is mined and sold or otherwise disposed of from the <br />Leased Premises. <br />I I. !.lens. Indemnification. Lessee agrees Io indemnify and save Lessors harmless <br />from and against any and all losses, claims, damages, and liabilities arising or charged to <br />arise as a result of operations by Lessee of ~~ the leased Premises or otherwise pursuant <br />to Ibis Lease, including without limitation, injuries to persons, damage to property, liens <br />claimed or arising out of work performed or things furnished, or failure to comply, or <br />claims of failure to comply, with applicable governmental laws, regulations, licenses and <br />permits, including those pertaining to protection of the environmental and reclamation of <br />land. This indemnification shall survive termination of this Lease, notwithstanding any <br />other provision Hereof. <br />13. I)efnull. If any breach or default by the lessee of any term or obligation <br />of this !.ease is not cured within sixty (60) days mailing of written notice to Lessee of <br />such breach or default, mailed by certified mail return receipt requested, to the address <br />S <br />
