Assignment by Lessee of this t.eax shall be subject to <br />approval by Lessor based upon the financial, txhnical and operational capabilities of the <br />assignee to perform and comply with the terms hereof, but which approval small not be <br />• -*easonably withheld. Notwithstanding the restriction on assignment as forth herein, the <br />rights of the Lessee shall be frcely assignable, without conxnt of Lessor to working <br />interest owners, provided, however, that such assignments would be effective only upon <br />receipt of written notice of assignment by Lessor. <br />10. Taxes. Lessee shall pay all ad valorem or other property taxes levied and <br />assessed against the Leased Premises. Lessee shall also pay all production, excise, <br />severance and other taxes that now or hereafter may be levied and computed on the <br />atn,runt nr value of coal which is mined and sold or otherwise disposed of from the <br />Leased Prcmrses. <br />11. Liens. Lessee shall not caux or permit a lien or encumbrance to attach <br />or remain the*con on account of an} debt (or materials or services furnished to Lessce <br />for oferations pursuant to this Lease; provided, however, that Lessee shall not be <br />required to remove any such lien for materials o: cervices so long as it is contesting, in <br />gncx; faith, the validity or the amount thereof. <br />12. Indemnification. Lessee agrees to indemnify and save Lessor harmless from <br />and against any and all losxs, claims, damages, and liabilities arising or charged to aria <br />as a result of operarions by Lessee upon the Leased Premises or otherwise pursuant to <br />this Ixzse, including without limitatior±, injuries to persons, damage to property, liens <br />cl:tirncd or arising out of work performed or Things furnished, or (ailure to comply, or <br />claims of (ailure to comply, with applicable governmental laws, regulatiors, licenses and <br />I>Lrmrts. including t`tusc pertaining to protection of the environmental and reclamation of <br />I;urJ, llris indemnification shall survive termination of this Leax. notwithstanding any <br />caher prt,visinn hereof. <br />13. Default.
