Assignmrnt by Lessee of this Lease shall be subject to <br />approval by Lessor based upon the financial, lxhnical and operational t:apabilities of the <br />azsignee to perform and comply with the terms hereof, but which approval shall not he <br />unreasonably ~.vithheld. Notwithstanding the restriction on azsignmrnt az forth herein, I~ e <br />righu of the Lessee shall be freely azsignable, without consent cf Lessor to workir.,; <br />interest owners, provided, however, that such azsignments would be effective only upo~~ <br />rxeipt of written notice of azsignment by Lessor. <br />]0. Tares. Lessee shall pay all ad valorem or other property taxes levied anal <br />assessed against the Leased Premises. Lessee shall also pay all production, excise. <br />severance and other taxes that now or hereafter may be levied znd computed on the <br />amount or value of coal which is mined and sold or otherwise disposed of frum the <br />Leased Premises. <br />11. Liens. Lessee shall not cause or pernit a lien or encumbrance to attach <br />or remain thereon on account of any debt for materials or services furnished to Lessee <br />(or operations pursuant to this Lease; provided, however, that Lessee shall not be <br />required to remove any such lien for materials or services so long as it is contesting, in <br />good faith, the validity or the amount thereof. <br />12. Indemnification. Lessee agrees to indemnify and save Lessor harmless from <br />and against any and all losses, claims, damages, and liabilities arising or charged to arise <br />as a result of operations by Lesser upon the Leased Premises or otherwise pursuant to <br />this Lease, including without limitation, injuries to persons, damage to propertv, lien <br />claimed or arising out of work performed or things furnished, or failure to comply, e <br />claims of failure to comply, with applicable governmental laws, regulations, licenses anc <br />permits, including those pertaining to protection of the environmental and reclamation of <br />land. This indemnification shall survive termination of this Lease, notwithstanding anc <br />other provision hereof. <br />13.
