<br />Divide Ranch, LLG, whose address is 736 Main Ave., Durango, CO 81301, Gratrtee:
<br />WITNESSETH, that the Crrantor, for and iia consideration of the sum of Ten Dollars and
<br />ottsergood and valuable consideration, the receiptand sufficiency ofwhich is hereby aclasowledged,
<br />has granted, bargained, sold and conveyed, and by these presents does grant, bargain, sell, convey
<br />and confirm unto Grantee, its heirs and assigns forever, all the real property, together with
<br />improvements, if any, situate, lying and being in the County of Archuleta, State of Colorado,
<br />described on Exhibit A, attached hereto and incorporated herein ("the Property"):
<br />TOGETHER with all and singularihehereditamentsand appurtenaacestbereunto belonging,
<br />or in any wise appertaining, and the reversion and reversions, remainder and remainders, rents,
<br />issues, and profits thereof, and all the estate, right, interest; claim and demand whatsoever of the
<br />Grantor, either in law or in equity, o$ in and to the above bargained premises, with the hereditaments
<br />and appurtenances. All mineral, oil, gas, ore and aggregate (including grave]) rights which Seller
<br />awns in the Property are conveyed without warranty.
<br />TOGETHER with any water rigtsts appurtenant to or historically used upon the Property,
<br />without warranty, including but not limited to the two existing gallery wells on the Propcriy, and all
<br />rights related thereto.
<br />RESERVING unto Grantor, and its successors and assigns, a sixty (60) foot wide, perpetual,
<br />non-exclusive access and utility easement through the Property described as "Old Charon Road" on
<br />the plat of Continental Divide Ranch, recorded in the Archuleta County Clerk and Recorder's Office
<br />wader Reception No. 2060118 ("the Easement'). The Easement is for the benefit of Grantor's
<br />property described in that deed to Grantor from Navajo Valley Ranch, LLC dated July 12, 2005 and
<br />recorded in the Archuleta County Clerk and Recorder's Office under Reception No. 20507073, less
<br />and except the Property convoyed herein.
<br />TO HAVE AND TO BOLD the said premises above bargained and described, with
<br />appurtenance unto the Grantees, theirheirs and assigns forever. And the Csrantor, for itself, its heirs,
<br />and personal representatives, does covenant, grant, bargain and agree to and with the Crrarstee, its
<br />heirs and assigns, that at rise time of the ensealiug and delivery ofthese presents is well seized of the
<br />premises above conveyed, has good, sure perfect, absolute and indefeasible estate of inheritance, in
<br />law, in fee simple, and has good right, full power and lawful authority to grant, bargain, sell and
<br />convey tlse same in manner and form as aforesaid, and that the same are ties and clear from alt
<br />former and other grants, bargains, sales, liens, texts, assessments, encumbrances and restrictions of
<br />whatever kind or nature soever, except as follows:
