such liens, that operations on the Property are under the sole and independent <br />direction and control of Lessee or Lessee's agents and solely for Lessee's <br />benefit. <br />15.1 Zoning & Permits. Owner and Lessee shall mutually cooperate in the <br />filing and pursuing of an applications for special use permit, petition for <br />zoning amendment, mined land reclamation permits and such other permits, as may <br />be desirable or are required and which would enable Lessee to mine the property <br />and perform other extractive operations including the milling, refining, <br />crushing or mixing for shipment of Sand & Gravel. Lessee shall present the <br />"operation/reclamation plans" to the Owner for approval, such approval not to be <br />unreasonably withheld. Lessee shall diligently pursue the approval of all such <br />permits. Diligence means the Lessee shall simultaneously pursue the Routt <br />County Special Uses Permit, Colorado Division of Minerals and Geology Permit, <br />Colorado Department of Transportation Access Permit, and US Army Corps Engineers <br />404 Permit. Lessee shall be responsible to pay any and all costs associated with <br />said application or petition as the case may be. Owner hereby agrees to support <br />said efforts in all respects and appear at hearing if Lessee deems it necessary <br />or advisable. Lessee shall pzovide copies of submitted documents and notice of <br />out come of permit applications, In the event the special use permit and/or <br />zoning application for sand and gravel, as the case may be, are unsuccessful and <br />abandoned, Lessee will give an appropriate release. Renewal or significant <br />amendments to the permits and operational/reclamation plans governing the <br />Property shall require the Lessee to present the new plans to the Owner for <br />approval, such approval shall not be unreasonably withheld. <br />16. Right to Redeem. Owner agrees that the Lessee shall have the right at <br />any time to redeem or protect the Property from any foreclosure, execution or <br />other forced sale which would impair Lessee's interest hereunder, by payment of <br />any mortgages, taxes ox other liens on the Property in the event of default of <br />payment by Owner (to the extent Owner is obligated to pay same). Such payments <br />so made by the Lessee without limiting Lessee's other remedies shall be deducted <br />from the Royalties, Production Royalties or other money due, or which may become <br />due, to the Owner from Lessee, during the term of this Lease. <br />17. Annexation. In the event Owner desires to annex or rezone all or any <br />part of the Property, the Lessee shall not impede the action to be taken, except <br />Owner shall not take action to annex or rezone which would be of a character <br />which would unreasonably or materially interfere with Lessee's rights previously <br />set forth in this Lease. Lessee agrees to sign any petition for annexation which <br />reasonably complies with the foregoing requirements, and to sign any agreement <br />with a municipality in connection therewith, so long as Owner agrees to bear all <br />financial burdens attributable or resulting from the annexation. <br />17.1 In connection with the sale of any portion of the More Family Ranch <br />Owner will disclose in writing the existence of this lease. <br />1B. Notice.
