(COM, Inc.) commences about 1983 with investment of financial <br />' resources by Richard Fraser and Gwendolyn Fraser (Fraser) in what <br />came to be called the Gold Hill Project being promoted and developed <br /> by Charles Steen, Sr. and M. L. Steen, his wife. <br />' While assembly, acquisition and Steen ownership of patented <br /> and unpatented mining claims ante-dated Fraser involvement by a <br /> substantial number of years, this prior history is of little significance <br />' toward understanding the current proprietary interest. <br /> In early 1983, members of the Steen family commenced forma- <br />, lion of a Utah corporation named Mi Vida Enterprises, Inc. (Mi Vida). <br /> Approximately concurrent with corporation formation, incorporators <br /> authorized entering into a venture partnership with a Canadian enter- <br />' prise named Cosmos Resources, Inc. (Cosmos), which co-venture was <br /> to be called Gold Hill Ventures. The Gold Hill property originally <br /> designated to Gold Hill Ventures was the Cash Mine group of claims. <br /> <br /> While Mi Vida, in its corporate form, was identified as co- <br /> venture partner with Cosmos in Gold Hill Ventures, completion of the <br />' corporate formation of Mi Vida did not take place until 1987. <br /> During the interim from 1983 toward 1987, Fraser financial <br /> contribution to the Steen enterprises at Gold Hill grew substantially as <br />' Cosmos financial support to Gold Hill Ventures declined and termin- <br /> ated. <br /> <br /> <br />
