1 <br /> <br />MILLING CONTRACT <br />This Milling Contract (the "Agreement") is entered into this <br />' day of January, 1991, by and between the following parties: <br />COLINA ORO MOLINO, INC. ' <br />a Washington corporation <br />4104 W. Marginal Way S.W. <br />Seattle, WA 98106 ("COM. INC.") <br />and <br />' MI VIDA ENTERPRISES, INC. <br />a Utah corporation <br />P. O. Box 1523 <br />Longmont, CO 80501 ("MI VIDA") <br />COM, INC. is the record owner of the Gold Hill Mill <br />' ("the Mill") located at Gold Hill, Colorado, the legal description of <br /> which is attached hereto as Exhibit A; and <br />' ~ WHEREAS, MI VIDA is the record owner of mineral properties <br /> located in the general vicinity of the Mill, as well as certain additional <br /> real property, tailings ponds, water, water rights and water storage <br /> rights, which may be of use to the milling process; and <br />' WHEREAS, the parties wish to agree to a mutually beneficial <br />illi <br />fr <br />MI VIDA <br />ti <br />th <br />r <br />t f <br />b <br /> or m <br />ng ores <br />om <br />proper <br />es on <br />usiness ar <br />angemen <br />e <br /> terms herein contained; and <br /> WHEREAS, each party aclmowledges and accepts, by execution <br /> and entering into this Agreement, it to be in each of their respective <br />' interests to set aside certain disputes existing between them to be <br /> resolved by and between and among the principal and related parties <br />' in interest and for the purposes of this Agreement to treat disputed <br /> claims as non-existent pending and subject to separate resolution. <br />' NOW, THEREFORE, in consideration of the foregoing recitals <br />d <br />l <br />f <br />f <br />h <br /> an <br />mutua <br />covenants o <br />the parties, and o <br />ot <br />er good and valuable <br /> consideration, the receipt and sufficiency of which are hereby aclmow- <br />' ledged and confirmed, the parties hereto agree as follows: <br />J <br /> <br /> <br />
