<br />TIfiS DEED OF WATER RIGHTS (this "Deed") dated as of
<br />December 30, 1985, is from UNITED STASES STEEL CORPORATION a
<br />Delaware corporation, 600 Grant Street, Pitrsburgh, Pennsyl-
<br />vania 15230 ("U.S. Steel") to KAISER COAL CORpORAT ION, a
<br />Delaware corporation, 102 South Tejon, Suite 800, P.O. Box
<br />2679, Colorado Springs, Colorado 80901-2679 ("Kaiser").
<br />FOR AND IN CONSIDERATION of Ten Dollars (510.00)
<br />and othee good and valuable consideration, the receipt and
<br />sufficiency of which are hereby acknowledged, U.S. Steel, as
<br />successor in interest by merger and consolidation to Colum-
<br />bia-Geneva Steel Division, United states Steel Corporation,
<br />a New Jersey corporation, hereby grants, bargains, sells and
<br />conveys to Kaiser, without representations or wa[ranCy of
<br />title except as set forth herein, the water rights described
<br />on Schedule I attached hereto (the "water Rights"); together
<br />with any and all water and water rights, ditch and ditch
<br />rights, reservoir and reservoir rights and wells and well
<br />tights appurtenant to or used upon the Ceal property
<br />described in Special Warranty Deed of even date between the
<br />parties, which rights are conveyed without any warranty of
<br />title, either express oc implied.
<br />TO HAVE AND TO HOLD the Water Rights unto Kaiser
<br />and its successors and assigns forever.
<br />
<br />This Deed is given with limited warranty of title
<br />by U.S. Steel to Kaiser that the water Rights described on
<br />Schedule I, are adjudicated with the State of Colorado and
<br />that u.S. steel has not transferred oc encumbered its rights
<br />in the Water Rights. No other warranties, implied or
<br />expressed, are made or intended to be made by U.S. Steel
<br />herein.
<br />Executed this 30th day of December, 1985, to be effec-
<br />tive for all purposes ae of the date first above written.
