F~ECEIVED NOU - 7 2000 INTERGOVI;RNMENTALAGREEMENT rwRVEYw.cuFlns 1 ATTORNEY AT L4W THIS INTERGOVERNMENTAL AGREEMENT is made tliis _ day of 2000, by and between the City of Central, Colorado {"Central"), the City of Black Hawk, Colorado ("Black Hawk"), the County of Gilpin, Colorado (the "County") vTd the Black Hawk-Central City Sanitation District (the "District") (collectively, the "Parties"). RECITALS A. The City of Central has filed an application in the District Court, Water Division No. 1, State of Colorado, in Case No. 92-CW-168. B. The City ofBlack Hawk has filed applications in the District Court, Water Division No. 1, State of Colorado„ in Cases Nos. 92-CW-059 and 94-CW-036. C. The County has filed an application in which a decree has been entered in the District Court, Water Division No. 1, State of Colorado, in Case No. 94-CW-277. D. A Stipulationhas been filedby Central, Black Hawk, and the County in said cases, which stipulation has'been signed by the objectors, City of Thornton, City of Northglenn, Church Ditch Company, City of Westminster, Farmers' High Line Canal and Reservoir Company, and Coors Brewing Company. Said StipulationispendingCourtapproval. This IntergovernmentalAgreement shall become effective upon a final order of the Court approving the Stipulation in Cases Nos. 92- CW-059, 94-CW-036, 92-CW-168 and 94-CW-277. E. By its Resolution No.2000-1 submitted with said Stipu]ation to the District Court, Water Division No. 1, State of Colorado, the District has consented to the Stipulation, subj ect to execution by the fimding parties of a funding agreement that includes an indemnity or covenant not to sue.the District in the,event the water quality goals and standards as established in the Stipulation are not met. F. This Intergovernmental Agreement is entered into among Central, Black Hawk, .the County, and theDistrict to give effect to and to fulfil] theparties' obligations under said Stipulation. Said Stipulation is appended hereto as Exhibit A, which is fiilly incorporated by this reference. AGRBEMBNT NOW, THEREFORE, in consideration of the mutual covenants contained herein, and other good and valuable consideration, the receipt and sufficiency ofwhich are hereby acknowledged, the parties to this Agreement agree as follows: 1. The definitions set forth in Exhibit A, the Stipulation, are hereby incorporated and' made a part of this Tntergovemmental Agreement, and repeated as follows: - ~ - Exhibit 24
