1 <br /> tMINUTES OF THE SPECIAL MEETING <br /> OF THE BOARD OF DIRECTORS OF <br /> ' NELSON CONCRETE M PING, INC. , <br /> d/b/a IN PROPERTIES <br /> ' The duly elected members of the Board of Directors of Nelson Con- <br /> crete Pumping Inc. , d/b/a IN Properties, a Colorado corporation in good <br /> ' standing, met pursuant to a Call and Waiver of Notice of this Special <br /> ' Meeting in the offices of the corporation physically located at 10221 South <br /> Highway 73, Conifer, Colorado 80433 an the 2 day of June, 1978. <br /> ' This meeting was called to order by the Chairman Lowell Nelson, and <br /> all of the directors were present, namely, Lowell Nelson, Eleanor Nelson, <br /> ' and Larry A. Nelson. <br /> ' The Secretary then presented the Call and Waiver pursuant to which <br /> the meeting was held. There being no objections, it was ordered by the <br /> ' Chairman to be entered into the minutes of the Corporation by the Secretary. <br /> The attention of the Board was then called by the Chairman to the <br /> tpurposes for which the meeting was held. Larry A. Nelson discussed the de- <br /> velopment and extracting requirements the Colorado Department of Natural <br /> Resources has regarding a parcel of property the Corporation owns located <br /> ' at Schaeffer's Crossing, Colorado (a photocopy of the legal and vicinity <br /> map of the area are attached as references thereto). Larry A. Nelson re- <br /> quested that this corporation d/b/a IN Properties, issue authority to <br /> ' Nelson Contractors, Inc. , or any of its agents, to cross-over, extract and <br /> remove from the Schaeffer's Crossing property any and all mineral deposits <br /> ' thereon that this corporation has authority to so remove. <br /> After discussion, it was moved, seconded and approved that Nelson <br /> ' Concrete Pumping, Inc. , a Colorado corporation, d/b/a IN Properties, hereby <br /> authorizes Nelson Contractors, Inc. , a Colorado corporation, and any of its <br /> agents, to enter upon, extract and remove any and all mineral deposits from <br /> ' that previously described real property owned by this corporation located <br /> at Schaeffer's Crossing, Colorado, from this date forward and until such <br /> date and time, at such payment to this corporation as shall be determined, <br /> • for and until so long as this authorization should be revoked in writing. <br />
