("EFL") and Energy Fuels Exploration Company ("EFEX" and collectively the <br />"Estates"), through their attorneys, Holden 8c Jessop, P.C., joimly move the Court for an order <br />approving the allocation of the purchase price proceeds received from International Uranium <br />Holdings Corporation ("I[JHC") in connection with the sale of substantially all of the assets of EFL, <br />EFEX and Energy Fuels Nuclear, Inc. ("EFN' and collectively "Energy Fuels"). In support of this <br />motion, the Committee and Energy Fuels state as follows: <br />1. EFL, EFEX, along with Oren Lee Bentoq CSI Enterprises, Inc., and Nuexco Trading <br />Corporatioq filed a voluntary petition under Chapter 11 of the Baalwptcy Code on February 23, <br />1995. EFL and EFEX have continued in operation and possession of their businesses as debtors-in- <br />possession pursuant to Sections 1107(x) and 1108 of the Banlavptcy Code. <br />2. On October 22, 1996, EFL, EFEX, Energy Fuels Muting Joirrt Venture ("EFMJV") <br />and the Committee filed a joint motioa of Energy Fuels and Creditors' Committee for order <br />authorizing sale of substantially all assets of Energy Fuels, Ltd., Energy Fuels Exploration Company, <br />and Energy Fuels Muring Joint Venture, authorizing assumption and assignment of executory <br />contracts, and authorizing settlement of certain claims (the "Sale Motion"). The Sale Motion <br />proposed a sale of substantially all of the assets of Energy Fuels pursuant to an Asset Purchase <br />
