SECOND AMENDMENT TO CONTRACT TO BUY AND SELL REAL ESTATE <br />(Vacant Land-Farm-Ranch) <br />This Second Amendment to Contract to Buy and Sell Real Estate (Vacant Land-Farm-Ranch} <br />("Second Amendment") is made this 26th day of February, 2004 by and between SOUTHWESTERN <br />INVESTMEN'T' GROUP, LLC, or assigns ("Buyer") and ALBERT WATADA, ALFRED WATADA, and <br />MARGARET WATADA (collectively, "Seller"). <br />RECTTALS <br />A- Buyer and Seller entered into a Contract to Buy and Sell Real Estate (Vacant Land-Fazm-Ranch) dated <br />April 1, 2003, as amended by Agreement to Amend/Extend Contract dated June 6, 2003 (collectively <br />the "Contract"), for certain property more particulazly described therein located in Weld County, <br />Colorado. <br />B. The parties.want to amend the Contract as set forth below. <br />NOW, THEREFORE, in consideration of the mutual covenants and agreements set forth herein and <br />for other good and valuable consideration, the receipt and sufficiency of which is hereby expressly <br />aclolowledged, the parties agree as follows: <br />1. Terms. All capitalized terms herein shall have the same meaning as set forth in the Contract <br />unless otherwise specificallydefined herein. <br />2. Sunersedin¢ Effect This Second Amendment shall supersede any conflicting provision in <br />the Contract. The parties herebyratify and confirm the Contract as amended by this Second Amendment. <br />3. Additional Due Dilieence Period(s). Tn the Addendum to the Contract, at paragraph f, Seller <br />and Buyer agreed to that Buyer could opt to exercise three, two-month extensions periods for a consideration <br />of $5,000 per extension period, payable to Land Title Company, said money to be refundable if a mining <br />permit is denied. That paragraph further defined that such crosideration shall be applicable to the purchase <br />price. There parties herein desire to modify the terms and conditions of Uie Contract as those terms and <br />conditions apply to Additional Due Dilib~ence Period(s). <br />Seller and-Buyer agree that effective as of January 14, 2004, Buyer may opt to exercise two- <br />month extension periods in exchange for a consideration of~per two-month extension period.
