<br />1.01.01 Enhancing the value of the non-mined property; <br />1.01.02 Integrating with the development plans far the purpose of maximizing the value <br />of the Properry for sale as a comprehensive subdivision with all infrastructure <br />installed; and <br />1.01.03 Maxin~ng the recovery of sand and gravel and considering the most <br />economical mining procedures. <br />Buyer shall obtain the written approval of such Mining Plan from the Seller, which <br />approval Seller shall not unreasonably withhold. Seller's approval or disapproval of <br />the Mining Plan shall be based on the criteria set forth above and once approved, Seller <br />shall not further challenge the Mining Plan. <br />Seller shall cooperate with the Buyer and shall supply all necessary information to the <br />Buyer so that a use by special review permit can be obtained from Wetd County and a <br />Mined Land Reclamation Permit can be obtained for the Property. Such cooperation <br />by the Seller shall include but not be limited to signing applications for permits, core <br />sampling, access for purposes of engineering studies and providing information <br />regarding the Property and the water rights held by the Seller. Buyer's agreement to <br />develop the Property in Pazcels shall include the following: <br />1.01.04 Completion of Permitting Process Within a Year. Buyer shall complete the <br />permitting process within a yeaz after the date of this Agreement. If the Use $y <br />Special Review Permits and mining permits issued by the Mined Land <br />Reclamation Board are not obtained within a year, this Agrcement shall <br />terminate and the Buyer's right to exercise the Qption rights hereafter stated <br />shall be void. <br />1.01.05 Cosrs. Buyer shall pay all costs associated with the engineering, and permits <br />for mining. <br />1.02 Development Plan. The Buyer, at Buyer's cost, shall propose a comprehensive <br />development plan for the Property, developing the Property into residential and <br />commercial land to be developed in the Parcels shown on Exhibit B and integrating the <br />Mining Plan shown in paragraph 1.01 above (the "Development Plan"). Buyer shall <br />obtain the written approval of such Development Plan from the Seller, which Seller <br />shall not unreasonably withhold. Seller shall cooperate with the Buyer and shall supply <br />all necessary information to the Buyer so that the Property can be properly zoned and <br />permitted. Such cooperation by the Seller shall include signing petitions for rezoning. <br />Buyer shaII pay all costs associated with the engineering, Development Plan and <br />permits for mining. Buyer's agreement to develop the Property in Parcels shall include <br />the following: <br />
