REORGANIZED DEBTOR RELEASE OF UMWA COMBINED BENEFIT FUND <br />KNOW ALL MEN BY THESE PRESENTS, that Reorganized CF&I <br />Steel Corporation, Reorganized CF&I Fabricators of Utah, Inc., <br />Colorado & Utah Land Company, Kansas Metals Company, Albuquerque <br />Metals Company, Reorganized Pueblo Metals Company, Denver Metals <br />Company, Reorganized Pueblo Railroad Service Company, Reorganized <br />CF&I Fabricators of Colorado, Inc., and The Reorganized Colcrado <br />and Wyoming Railway Company (collectively, the "Releasors"), <br />reorganized debtors pursuant to the Debtors' and Railroad <br />Trustee's First Amended and Restated Joint Plan of Reorgani::ation <br />Dated December 1, 1992, which was confirmed by Order of the - <br />United States Bankruptcy Court for the District of Utah entered <br />on February 12, 1993 in cases jointly administered under Ba~Zkr. <br />Case No. 90B-6721, for good and valuable consideration, the <br />receipt and sufficiency of which is hereby acknowledged, on <br />behalf of themselves, their respective predecessors, successors, <br />and assigns, do hereby release, waive, and discharge the United <br />Mine Workers of America Combined Benefit Fund and its Trustees, <br />and their respective predecessors, successors, and assigns as <br />well as any of their officers, directors, agents, or affiliates <br />(the "Releasees"), from any and all rights and claims (as defined <br />in title 11 of the United States Code) which were or could have <br />been asserted by the Releasors or any of them in Adversary <br />Proceeding No. 94PB-02129 in the United States Bankruptcy ~~ourt <br />for the District of Utah or which in any way relate to CFI Steel <br />Corporation's or its affiliates' former employment of coal miners <br />which they heretofore, now, or hereafter possess or may possess <br />against the Releasees except as set forth or provided for in the <br />EXHI®!T <br />
