TRANSACTIONS BETWEEN CFiI 6TEEL CORPORATION AND IT6 WHOLLY OWNED BIIHSIDIARIES; TRANSACTIONS AMONG BIIBSIDIARIE6 The following summarizes the transactions (other than intercompany loans) between CF6I Steel Corporation (the "Parent Company") and its wholly owned subsidiaries as well as the transactions among the wholly owned subsidiaries. CF6I FABRICATORS OF COLORADO. INC. f"CFSI Colo"1: 1. CFiI Colo primarily purchases its materials, reinforcing bars and miscellaneous wire products, from the Parent Company and pays under normal terms. 2. General liability insurance, property insurance and automobile insurance are carried by the Parent Company and allocated to CFiI Colo on a monthly basis. Excess workers' compensation eazzied by the Parent Company covering CFiI Colo is also allocated to CF6I Colo. 3. Costs related to the Master Pension Plan are allocated to CF6I Colo. Pension funding is due from CF3I Colo when paid by the Parent Company. Income taxes for federal and state are calculated by the Parent Company and allocated to CFiI Colo (as well as all the other subsidiaries). Provisions for payment of taxes are made by the Parent Company; amounts to be paid by subsidiaries are allocated to the subsidiaries and are paid quarterly by the subsidiaries. 5. The Pazent Company offers optional life insurance program to certain exempt salaried employees of CFSI Colo which is partially paid by the employee and the Parent Company. CFiI Colo reimbuzaes the Pnzent Company for any of these costs. 6. Miscellaneous costs for preparing and tiling documents and miscellaneous fees for other services era reimbursed to the Parent Company by CFiI Colo as incurred. 7. Basic group health and life inaurance are provided by CFiI Colo's own plans. 8. Transactions between CFiI Colo and the other subsidiaries are immaterial. EXHIBIT
