<br />"PBWW Lease" means the Water Lease between Board of Water Works of Pueblo,
<br />Colorado and COMAT dated April 10. 2001. as assigned to Agile on December 30, 2002.
<br />"~" means Republic-Columbia Investment, LLC, a Colorado limited liability
<br />company.
<br />"RCI ACRW Membership Interest Assi nQ ment" means the Assignment dated as of June
<br />24, 2002 from COMAT to RCI with respect to membership interest in ACRW.
<br />"RCI CMAC Stock Assignment" means the Stock Assignment (undated) from COMAT
<br />to RCI with respect to 1,000,000 shares of common stock of CMAC.
<br />"RCI Parkdale Ouarrv Deed of Trust" means the Deed of Trust, Security Agreement,
<br />Financing Statement and Fixture Filing dated as of June 24, 2002 from Agile. to Public Trustee
<br />of Fremont Colorado, for the benefit of RCI, recorded in Fremont County at Reception
<br />No. 75l l56 on June 25, 2002, pursuant to which Agile granted to RCI a security interest in
<br />Agile real property, together with a security interest in related machinery, equipment and
<br />fixtures, in the Parkdale Quarry, as amended by the Amendment to Deed of Trust, Security
<br />Agreement, Financing Statement and Fixture Filing dated as of September 10, 2002 between
<br />Agile and RCI, and recorded in Fremont County at Reception No. 754817 on September 12,
<br />2002, and as amended by the Second Amendment to Deed of Trust, Security Agreement,
<br />Financing Statement and Fixture Filing dated as of October 30, 2002 between Agile and RCI.
<br />and recorded in Fremont County at Reception No. 757380 on November 1, 2002.
<br />"RCI Secured Promissory Note" means the Secured Promissory Note dated June 24,
<br />2002, in the principal amount of 5800,000 from COMAT to RCI, as amended by Amendment to
<br />Secured Promissory Note dated as of September 10, 2002 from COMAT to RCI increasing the
<br />principal to 51,000,000, and as amended by Second Amendment [o Secured Promissory Note
<br />dated as of October 30, 2002 from COMAT to RCI increasing the principal to 51,065,000.
<br />"RCI Securitv Agreement" means the Security Agreement dated as of October 30, 2002
<br />between Agile and RCI.
<br />"RCI Securitv and Pledge A¢reement" means [he Security and Pledge Agreement dated
<br />as of June 24, 2002 between COMAT and RCI, pursuant [o which COMAT pledged its ACRW
<br />Membership Interests to RCI, as amended by the Amendment [o Security and Pledge
<br />Agreement dated as of September 10, 2002 between COMAT and RCI, and as amended by
<br />Second Amendment to Security and Pledge Agreement dated as of October 30, 2002 between
<br />COMAT and RCI.
<br />"RCI SOLO Ouarrv Deed of Trust" means the Deed of Trust, Security Agreement,
<br />Financing Statement, Fixture Filing and Assignment of Leases and Proceeds dated as of June
<br />24, 2002 between CMAC and the Public Trustee of Huerfano County, Colorado, for the benefit
<br />of RCI, pursuant to which CMAC granted to RCI a securry interest in the mineral and
<br />leasehold interests of CMAC in the "SOCO" Quarry. recorded as Fixture Filing No.
<br />200200354469; filed lone 25, 2002 in Huerfano County on lands, leases and easements covered
<br />by the State of Colorado General Quarry Lease Xo QR-3396, dated November 16, 1999, the
<br />Rock Sand and Gravel Quarry Lease dated September 10. 1999, and the Access Easement and
