INC. <br />Dear Jim: <br />I reviewed your letter dated April 16, 1990 with Mark Steen, <br />and I am certain that under the appropriate conditions to ensure <br />compliance with all necessary laws, rules and regulations and so <br />that we protect the interests of all of the partners, an <br />appropriate agreement can be worked out for custom milling. <br />Although we are still a little unsure about some of the items <br />to be included in the Contract for Custom ore Processing that you <br />propose, both Mark and I believe it would be useful for us to see <br />your proposal. <br />I was a little concerned because I thought perhaps the <br />conceptual agreement I had reached with Dick Fraser when he was in <br />Denver (the items in my letter dated March 15, 1990) did not seem <br />to be reflected in your letter. Gwen and I discussed this, <br />however, and as long as we are in agreement that the ability to <br />perform under that March 15 set of guidelines is still to be <br />included, I think it would be useful for you to prepare that draft <br />so that we can see exactly where we are going. <br />One of the items that seems to me to be fundamental is to be <br />certain that the parties to the Contract for Custom Ore Processing <br />takes into account some of the requirements that are imposed by <br />others on the property. For example, we want to make certain that <br />whoever enters into the agreement obtains, at a minimum, the <br />following: <br />(a) Obtain all of the required Special Use Permits from <br />Boulder County. This might be of some concern to a <br />potential investor because it will require a public <br />hearing, but it obviously makes sense to address it up <br />front and not have someone be surprised will be required. <br />~-a®658 <br />
