ESCROW AGREEMENT <br />This Escrow Agreement ("Agreement") is made this _ day of June, 1999 by and <br />between Board of County Commissioners of Pitkin County, Colorado ("Pitkin County"), Mid- <br />Continent Resources, Inc. ("MCR"), Louis M. LaGiglia, Creditors' Trustee under Bankruptcy <br />Plan of Liquidation ("Trustee"), MidCon Realty, LLC ("MidCon"), and Stewart Title of Aspen, <br />Inc. ("Escrow Agent"). <br />RECITALS: <br />A. All of the parties to this Agreement with the exception of Escrow Agent aze <br />parties to a lawsuit currently pending in District Court, Pitkin County, Colorado, Case No. 97- <br />CV-131-1 ("Lawsuit"). <br />B. The parties to the Lawsuit have agreed to settle the Lawsuit and as part of that <br />settlement, have agreed to establish an escrow account with Escrow Agent. <br />C. The lawsuit arises out of MCR's coat mining activities in Coal Basin, Pitkin <br />County, Colorado. <br />D. MidCon currently owns approximately 265 acres of property within Coal Basin <br />("MidCon Property"). The legal description of the MidCon Property is attached as Exhibit A. <br />As part of the settlement agreement between the parties to the Lawsuit, MidCon has entered into <br />a listing agreement with Western Land Group, Inc. in an effort to exchange the MidCon Property <br />with the United States Forest Service ("USFS"). <br />E. Certain improvements currently exist on the MidCon Property in Coal Basin, <br />including a Lamp House, the road, culverts, low water crossings and utility lines leading to the <br />Lamp 'House, a metal building near the former Prepazation Plant and a water tank <br />("Improvements"). The Forest Service has indicated that if it becomes the owner of the MidCon <br />Exhibit A to Settlement Agreement <br />
