their successors and assigns, but no assignment or subletting hereof by the said GEC st-iall be valid until GEC has complied with the following provision: In the event GEC desires to sell or assign the within lease, it shall give Corley the first right of refusal ~ purchase GEC's interest hereunder and the equipment owned by GEC and used in its operations on the leased pro- perty on the same terms and conditions as are contained in any bona fide written offer received 6y GEC. GEC shall convey such bona fide written offer to Corley on receipt thereof and Corley shall have thirty (30) days from the date that such written offer is sent to Corley to either accept or reject the terms of said offer. If accepted by Corley, Corley shall have thirty (30) days from acceptance to close or complete the transaction. In the event Corley rejects the terms contained in said bona fide written offer, GEC shall then be free to consummate the sale and assignment of this lease on the terms and conditions contained in the offer conveyed to Corley.
