<br />All clai;as, including claims for indemnification, whether based
<br />upon contract, tort, breach of warranty, professional negligence,
<br />or othez~aise, shall be deemed waived unless the clairo is made
<br />within tr+o tZ) years after completion Of the .-osk or event giving
<br />rise to the claim.
<br />The provisions of this Paragraph 12 providing for limitations and
<br />protection against Remcor's if ability shall auzvive the completion
<br />of the 6ervices or the expiration, cancellation, or termination of
<br />way agreement between Rer„cor and Client. and such provisions shall
<br />apply to the full extent peraitted by law.
<br />13 . INJE!+!NIrICATION
<br />Remcor will defend, protect, indeau,ify and hold the Client, its
<br />directors,. officers, employees, associates, consultants and sub-
<br />contractors harmless of, from and against wry and ail claims,
<br />losses, e.xper.ses, damages, de.;.ands, suits, costs enc liabilities,
<br />direct, incidental or consequential, including reasonable counsel
<br />fees, arising from 8amage to or Ioss of property. injury to oz
<br />death of persons, violation of any tederal, state or local law,
<br />regulatior.•. or rule, or otherwise as a result of the negligent or
<br />willful acct or omission or breach of this Agreement by Remcor, its
<br />directors, officers, employees, associates, consultants and
<br />subcontractors.
<br />Client will defend, protect, indemnify and hold Remcor, its direc-
<br />tors, officers, e:ployees, associates, consultants and subcontrac-
<br />tors harmless of, from wad n5ainst any and all claims, losses,
<br />expenses, damages, demands, suits, costs and liabilities, direct,
<br />inci3ental or conseQuential, including reasonable counsel fees,
<br />arising from dar<age to or loss c: property, injury to or death of
<br />persons, violation of any federal, state o: local law, regulation
<br />or rule, or otherwise as a result of the negligent or willful act
<br />or emission or breach of this Agreer,.er.t by the Client, Sts di-
<br />rectors, officers, am~loyees, associates, consultants and
<br />subcontractor;.
