Please <br />see attached list for active sites under the name CAMAS. According to Secretary of State records, CAMAS <br />Colorado, Inc. and Aggregate Industries-WCR, Inc. merged on December 31, 2000, with Aggregate Industries- <br />WCR, Inc. as the surviving corporation. According to [he mercer documents- the merger was done pursuant to <br />C.R.S. § 7-III-105. This statute provides that once the merger took effect, CAMAS Colorado ceased to exist. <br />[C.R.S § 7- l l l- l06(1)(a)]. The merger documents also state that upon the effective date of December 31, 2000, <br />the separate existence of CAMAS Colorado shall cease. Therefore, it does not appear that CAMAS Colorado, <br />Inc. currently exists as an entity which can to do business in the Stale of Colorado or has the ability to meet the <br />statutory and regulatory provisions as required in [he performance warranty and the financial warranty. <br />This letter is to inform yott that if Aggregate Industries-WCR, Inc. wants to conduct mining operations under the <br />existing permits, it (or any other valid, existing corporate entity) must submit a Transfer of Mineral Reclamation <br />Perntit and Succession of Operators Application within 30 days or by 1vlarch 16, 2001. If a transfer application is <br />not submitted, the Division may consider this matter a possible violation based on the fact that CAMAS Colorado <br />no longer exists as an entity that can do business in the State of Colorado or can comply with statutory and <br />regulatory requirements.
