The allocation of the purchase price does not take into consideration the "holdba<:ks" from the
purchase price or the liabilities of the Estates paid at Closing. Any claim against a "holdback" or
liability paid at Closing will be allocated to the Estate from which the liability or claim originated.
The Committee, Energy Fuels and IUHC each believe this purchase price allocation reflects the "fair
market value" of the assets sold to IUHC by EFL, EFEX and EFN, respectively.
WHEREFORE, the Committee and Energy Fuels respectfully request the Court approve the
allocation of the purchase price between EFL, EFEX and EFN as set forth in this Motion.
