Brothers. Both Lehman Brothers and Shearson Lehman Brothers are
divisions of Shearson Lehman Brothers Inc.
18. Neither the Debtors nor Shearson Lehman Brothers
believe that the relationship between Lehman Brothers and
Shearson Lehman Brothers creates a conflict which would
disqualify either Lehman Brothers or Shearson Lehman Brothers
from representing the Debtors. The letter from James W. Harris
attached hereto as Exhibit E indicates that Shearson Lehman
Brothers Inc. does not believe that the representation of the
Debtors by Lehman Brothers and Shearson Lehman Brothers in
varying capacities represents a conflict of interest.
WHEREFORE, Debtors respectfully request that the Court enter
an order approving the Debtors' entering into the Tri-Party
Repurchase Agreement including the execution of the Custody
Agreement and the Repurchase Agreement and granting such other
and further relief as the Court deems just and proper.
DATED this /[~~.day of June, 1991.
LeBOEUF, LAMB, LEIBY b MacRAE
By: C~GZfI
Ralph R./~bey i
Steven ~ McCardell
Penrod W.
