Shelton: <br />This office represents Arabian Shield Development Company <br />and its subsidiary, American Shield Coal Company. On February <br />7, 1986, the Arabian Shield Development Company acquired all of <br />the outstanding shares of Dorchester Coal Company from the <br />Dorchester Master Limited Partnership of which Damson Oil <br />Corporation is a general partner. Subsequent to that <br />transaction, the name of Dorchester Coal Company has been <br />changed to the American Shield Coal Company ("American Shield") <br />which is a wholly-owned subsidiary of Arabian Shield Development <br />Company. As you know, Dorchester Coal Company has previously <br />sold all of its interest in the Dorchester No. 1 Mine leaving <br />the Fruita Project as its only coal property at this time. This <br />letter is written to inform you of the transaction and to <br />request that your agency take the necessary actions to ensure <br />that the existing CMLR liabilities and pending permit <br />applications associated with the Fruita properties are properly <br />listed in the name of American Shield. <br />The existing permit for the property, Permit No. 79-60, is <br />supported by surety in the form of a Letter of Credit in the <br />amount of $141,000. The terms.of the transaction required <br />American Shield to replace the existing Letter of Credit with an <br />appropriate form of surety no later than February 28, 1986. All <br />of the other bonds in your files pertaining to exploration <br />programs conducted by Dorchester are assets of Dorchester Coal <br />and will remain in effect. American Shield will take the <br />necessary steps to ensure that the corporate name change is <br />properly recorded with the bond carriers and endorsed on the <br />bonds accordingly. <br />The transaction is a sale of stock and the Dorchester Coal <br />corporate entity will remain intact.
