("Agile") and Colorado <br />Materials Holding Corp. ("COMAT," and together with Agile, the Debtors"), filed their Motion <br />to Approve Settlement Agreement With Fred F. ]ones (the "Settlement Motion's with the Cou» <br />on May 14, 2004. A copy of the Settlement Motion is available for inspection in the Clerk's <br />Office of the United States Bankruptcy Court, ?21 l9"' Strcet, Denver, CO 80202, or upon <br />request from the undersigned attomey_ <br />The Settlement Motion seeks an Order from the Court approving the settlement of a <br />certain claim filed and asserted by Fred F_ Jones against COMAT. While the Settlement <br />Agreement annexed to the Settlement Motion is the definitive document with respect to the <br />compromise proposed therein, for summary purposes only; the settlement provides that: <br />a) Subject to the closing of the transaction contemplated under the Debtors' Plan and the <br />confirmation order becoming a Final Order, (i) Jones' claim shall be allowed as a <br />genera], non-priority, unsecured claim in COMAT's case in the reduced amount of <br />$400,000.00 on account of Jones' claims under a certain employment agreement <br />asserted against COMAT; and (ii) in consideration of )ones' release, discharge, <br />termination and waiver of any claims he has or may have against Rock & Rail, Inc. <br />or CIG LLC on account of Jones' alleged stock interest in Rock & Rail, Inc., CIG <br />LLC shall pay to Jones the amount of $10,000.00, and Rock & Rail, 3nc., shall pay to <br />Jones the amount of $10,000.00; and <br />
