07/23/99 FRI 11:36 FAR 303 452 4515 ADCO/CHEROKEE/BAYER f~J002 <br />' ` • <br />1 <br />' IHDBI~ItIGTIOI/ 71O1tEB1[Sa1T <br />THIS INDEMNIFICATION AGREEMENT ("Agreement") is entered into <br />on the ZZND day of July, 1999 between CAMAS Colorado, Inc., an <br />Indiana corporation, ("CAMAS"), Miriam J. Bromley and K.T. Barr, <br />Inc., a Colorado corporation, ("Bromley and RTB"). <br />1. CAMAS is the owner of certain real property located on the <br />south side of 104`" Avenue and on the west aide of the South Platte <br />River, said property lying due south of the Bromley and RTB <br />Property described below (the "CAMAS Property"). <br />2. Bromley and KTB are the owners of certain real property <br />("Bromley and RTB Property") located at 6507 E. 104`h Avenue, <br />Denver, Colorado 80233 and in the general vicinity of the CAMAS <br />Property. <br />3. CAMAS has filed applications with the Colorado Mined Land <br />Reclamation Hoard and the County of Adams, State of Colorado <br />("CAMAS Applications") for the purpose oP allowing the mining of <br />sand and gravel on the CAMAS Property. <br />4. The mining activities of CAMAS will result in the removal <br />of overburden, sand and gravel, and the creation of a water storage <br />pit on the CAMA3 Property. <br />5. Bromley and KTB have expressed concerns to governmental <br />officials and others that the mining activities of CAMAS may result <br />in the water level of yells and lakes located on the Bromley and <br />KTB Property ("Bromley and RTB Wells and Lakes") being ..lowered to <br />such an extent that Bromley and KTB are unable to recover and use <br />the amounts of water historically taken aad*=vbich -ean~ega~l~bej/~ <br />bsksn from such wells and lakes. 7h Y` <br />6. Bromley and KTB have advised CAMAS that without some sort <br />of protection from the possible adverse affect of mining activities <br />of CAMAS on the CAMAS Property on the Bromley and KTB wells and <br />Lakes, the CAMAS Applications are objectionable. <br /> <br />7. Consideration. The consideration for this Agreement shall <br />be the mutual promises and covenants set forth herein. <br />8. indemnification. CAMAS shall indemnify and hold harmless <br />Bromley and KTB against any and all loss and damages incurred by <br />Bromley and KTB .as a result of the water level of the Bromley and <br />KTB Wells and Lakes being drawn down to the extent that Bromley and <br />KTB era unable to recover and use the amounts of water historically <br />taken from the Bromley and KTB Wells <br />Y/~,~ ~1 <br />~/ 2 2.. ti/~ <br />
