ANNUAL SHAR_F_FfOLDERS' MEETING ISSUES Nominaf.ine Committee Re-port Mr. Rabone, Chairman of the ad-hoc Nominating Committee which consisted of himself, Mr, Bitonti, and Mr, Cole, presented the report of the Nominating 003 Committee. Mr. Rabone reported that the recent VEBA elections resulted in Mr. Ken Casey being elected to fist ~he~.,'prestee of VEBA„~~rrr&n1Jx„held b~ Nick Ric,p Pursuant to past practice of the VEBA regazding members of the Boazd, the salaried VEBA members bad suggested that Ken Casey be added as a new Board member to replace Nick Rickard, who had stated that he did not intend to stand for re-election to the Board of Kaiser Si~._~1 RPspurc~s.~ Mr. Rabone indicated that the committee had reviewed the number of Boazd .members and the term of the Board members and it was the Committee's unanimous recommendation that a 12-person Board be nominated for a one-year term. The recommendation of the Committee was for the eleven current members of the Board (excluding Mr. Rickard, who had elected not to stand for re- election) and Mr. Ken Casey to be nominated for aone-year term, effective upon approval by the shareholders at the June 14 Annual Shareholders meeting. 6 - ~ `~ ~ ~ .3 Mr. Rabone further indicated that there was no consensus for a staggered Board, particularly in light of questions raised by the VEBA and the PBGC. Taking Mr. Rabone's and the Committee's recommendation as a motion, nominations were seconded by Mr. MacDonald. After a brief discussion, the Board unanimously approved the proposed slate of Directors for aone-year term to be approved by the shazeholders at the June I4 Annual Shazeholders Meeting as follows: Cass D.
