<br />PURCHASE AGREEMENT <br />NORTH DAHLIA PROPERTY <br />. ~ <br />THIS PURCHASE AGREEMENT ("Agreement") is made this 14"' day of December, 2000 <br />between the C1TY OF THORNTON, a Colorado municipal corporation whose address is 9500 Gvic <br />Center Drive, Thornton, Colorado 80229 ('Thomton") and AGGREGATE INDUSTRIES -WEST <br />CENTRAL REGION, INC., an Indiana corporation, whose address is 3605 South Teller Street, <br />Lakewood, Colorado 80235 ("Aggregate'. Aggregate was formerly known as CAMAS Coloredo, <br />Inc., an Indiana corporation, and Cooley Gravel Company, an Indiana corporation. <br />RECITALS <br />WHEREAS, the City of Thomton has commenced an eminent domain action to acquire <br />property in the following action, City of Thomton v. Cooley Gravel Company, et al., Case No. 98 <br />CV 0777, District Court, Adams County, State of Colorado; <br />WHEREAS, Aggregate is currently the owner of the Property; <br />WHEREAS, mining has been completed on the Property and the Property in its current <br />conditlon has the potential for use as a reservoir; and <br />WHEREAS, Thomton and Aggregate have reached an agreement regarding the purchase <br />of the Property as a finished and approved reservoir from Aggregate by Thomton. <br />AGREEMENT <br />NOW, THEREFORE, and In consideration of the mutual covenants herein contained and <br />other good and valuable consideration, the receipt and sufficiency of which is hereby <br />acknowledged, Thomton and Aggregate agree as follows: <br />Definitions <br />As used in this Agreement the following terms are defined as set forth below: <br />"Closing" shall mean the execution and delivery of the documents Identified in Paragraph <br />19 of this Agreement and the payment of the Purchase Price. <br />"Condemnation Action" shall mean the eminent domain action commenced by Thomton to <br />acquire the Property, in the District Court, County of Adams, State of Colorado, In Case No. <br />98CV0777, City of Thomton v.
