<br />21. Costs and Expenses. Thomton shall pay the cost of recording the Deed and any <br />documentary fee relating to the Property conveyed by the Deed. Aggregate and Thomton shall <br />share equally any closing fees. <br />Post Closino Conditions/Agreements <br />22. Condition of Prooertv. Aggregate, at its sole cost and expense, shall remove all <br />mined materials; construction materials or debris; equipment; supplies; and any other personal <br />properly from the Property prior to Closing. <br />23. Reservoir Warranties. Aggregate shall assign to Thornton at Closing any and all <br />warranties received by Aggregate from its contractors and subcontractors which pertain to the <br />Reservoir and shall cooperate with Thomton in the event it becomes necessary for Thomton to <br />enforce such warranties. Should said warranties not be assignable without the warrantors' <br />consents, Aggregate shall use its reasonable best efforts to obtain those consents. <br />24. Roadway And Fence Around Reservoir. Aggregate shall, at the option and expense <br />of Thornton, construct: <br />a. A gravel road around the perimeter of the Reservoir to the specifications of <br />Thomton; and, <br />b. A chain link fence, to Thomton's specifications, around the Property; <br />provided that the amount to be charged Thomton for such work shall not exceed Aggregate's cost <br />of having such work performed. <br />25. Agoreoate's Reclamation Responsibility. Aggregate shall remain responsible for <br />compliance with all the terms and conditions of the Permits. Upon execution of this Agreement, <br />no amendment shall be made to any mining or reclamation plan, or any special use permit without <br />Thomton's prior written approval. Aggregate will obtain Thomton's written approval prior to the <br />release of any reclamation bond. <br />a. Agoreoate's Access to the Property for Reclamation Purposes. Upon <br />request made to Bud Hart, Thomton Manager of Water Supply Treatment, <br />or his designated successor, at least twenty-four (24) hours prior to entry, <br />Aggregate will be permitted to enter and have access to the Property for <br />purposes of complying and completing any reclamation or other post mining <br />work necessary under the Permits. In pertomting any reclamation or post <br />mining work necessary under the Permits, Aggregate shall not destroy, <br />damage, or injure the Properly or any improvements on the Property. <br />North Dahlia <br />Purchase Agreement <br />December 11, 2000 <br />Page 13 of 22 <br />
