SETTLE[~NT AGREEI~NT <br />This Agreement is entered into as of April 1, 1993, by <br />and among Reorganized CF&I Steel Corporation ("CF&I"), formerly <br />named CF&I Steel Corporation, a Colorado corporation, <br />Reorganized Pueblo Metals Company, formerly named Pueblo Metals <br />Company, a Delaware corporation, The Reorganized Colorado & <br />Wyoming Railway Company, formerly named The Colorado & Wyoming <br />Railway Company, a Colorado corporation, and Reorganized Pueblo <br />Railroad Service Company, formerly named Pueblo Railroad <br />Services Company, a Colorado corporation, (collectively the <br />"Taxpayers"), and the Colorado Department of Revenue (the <br />"Department") <br />RECITALS <br />A. On November 7, 1990, the Taxpayers filed voluntary <br />petitions under Chapter 11 of Title 11 of the United States <br />Code with the United States Bankruptcy Court for the District <br />of Utah (the "Bankruptcy Court"), under the following case <br />numbers: <br />CFfiI Steel Corporation Case No. 908-06729 <br />Pueblo Metals Company Case No. 90B-06725 <br />Pueblo Railway Service Company Case No. 908-06727 <br />The Colorado & Wyoming <br />Railway Company Case No. 908-06730 <br />These cases are being jointly administered under Case <br />No. 908-06721. <br />B.
