Knutson <br />Knutson, Brightwell & Reeves <br />1650 Hudson's Hay Centre <br />1600 Stout Street <br />Denver, CO 80202-3133 <br />Re: COM, Inc./Gold Hill Mill <br />Dear Rodney: <br />iii iiiiiiiiiiiii iii <br />This letter confirms our (my and Mrs. Eraser's) visit with you and <br />Mark Steen at your offices in Denver on the afternoon of Tuesday, <br />October 23, 1990. <br />Mrs. Fraser and I each appreciate your making your time available to <br />us. it was important we have had this opportunity to inform you of the <br />intentions of COM, Inc. <br />That the mill has been an idle, non-performing asset for far too long <br />has become an increasing concern. COM, Inc. has determined the <br />mill needs be put into operation profitably processing ore as soon as <br />is practicable. <br />This confirms to you Wayne Tatman has been designated Mill Super- <br />intendent and placed in possession of the property for purposes of <br />engaging a crew and commencing operations. It is the compan}~s <br />intention this shall proceed as swiftly as is practicable under the <br />circumstances. The plan is to operate the mill productively as <br />circumstances shall permit. <br />For a long time we have attempted to reach understandings per- <br />mitting conclusion of an agreement in disposition of the mill and <br />other Fraser interests. <br />By letter dated November 29, 1989, the mill was offered for sale to <br />the general partner (Mi Vida) of Gold Hill Ventures. This offer was on <br />the most liberal terms felt appropriate to the circumstances. This <br />offer was declined by your letter of December 29, 1989. <br />
