<br />General Conditions for Purchase Orders
<br />-DEFlNII'IONS
<br />OWNER OR STATE -The Director of the State of Colorado, Division
<br />of Minerals and Geology (DMG) or his designee. The Colorado
<br />Division of Minerals and Geology (DMG) is located at 1313 Sherman
<br />Street, Room 215, Denver, Colorntlo, 80203, telephone (303) 866•
<br />3667.
<br />PROJECT MANAGER -The Director of the Colorndo Division of
<br />Minerals and Geology or the DMG employee or representative
<br />responsible for day to day observation of project work at the job site,
<br />and general comrnd administration for the DMG.
<br />4. INSURANCE
<br />The Contractor is required to procure and maintain the insurance
<br />coverage listed below. Proof of insurance must be submitted on
<br />certificates showing the following minimum coverage:
<br />1. StarWartl Worker's Compensation and Employer Liability,
<br />as required by State Statute including occupational disease,
<br />covering all employees at the work site.
<br />2. General Liability (Public Liability & Properly
<br />Damage)(Minimum):
<br />CONTRACTOR OR SELLER -The sole proprietorship, paMership,
<br />or coryoretion to which the Purchase Order is addressed.
<br />PURCHASE ORDER CONTRACT DOCUMENTS - An enforoeable
<br />contract in mat H is written evidence of me purchasers acceptance of
<br />me sellers previous and unretracted offer to perform me work subject
<br />of me purchase order for me price stated merein. The Purohase
<br />Order Contrect includes me Bid, bid Schedule, General Conditions,
<br />Insurance Certificates, Purchase Order Terms and Conditions, Bid
<br />Solicitation Memorandum, including Work Description, maps,
<br />dawings and any AmentlmeMs These documents are
<br />complementary, what is called by for any one document snail be as
<br />binding as if called for by all.
<br />In case of a difference between me contrect documents, precedence
<br />shall be given in me following respective order. bid, Bid Solidtation
<br />memorandum, General Conditions, Purchase Order Tertn s and
<br />Conditions, maps and Drawings, Amendments shall take precedence
<br />in me area of me bid document which mey modify or clarity. In me
<br />case of any such-difference, me matter shall be promptly brought to
<br />me attention of me PROJECT MANAGER who will make a
<br />tletertnination in writing.
<br />WORK -The material and/or labor me seller is to furnish to me
<br />purchaser by operation under me purchase order.
<br />SUBCONTRACTOR - A sole proprietorship, partnership or
<br />corporation which has a unnhad calm me CONTRACTOR for me
<br />performance of labor at me site of the work regardless of whemer
<br />supptying of material is part of such contract, but without contractual
<br />relationship to me purchaser.
<br />SUPPLIER - A sole proprietorship, parfiership or cerpoation which
<br />over-me-counter or under contract furnished me CONTRACTOR
<br />material or equipment incrorporntetl in me work or omerwise incident
<br />tome CONTRACTOR'S perfomance, but •xttich performs no labor at
<br />me work site.
<br />2 CONDRIONS AFFECTING THE WORK
<br />In addition m examining me drawings and specifications, completion
<br />schedule, and omer instructions, bidders shall visit me site and take
<br />such omer steps as may De reasonably necessary to ascertain me
<br />nature aril location of me work including avernge climatic conditions
<br />and the general and local conditions which can affect me work or me
<br />cost mereof. Failure ado so will not relieve bidders from
<br />responsibility for estimating properly me difficulty or cost of
<br />suaessfully pertortning me work.
<br />AWARD
<br />Award will be made with reasonable promptness, by written notice to
<br />me low responsive and responsible bitlder whose bid meets me
<br />requirements and criteria set form in me Invitation for Bid. These
<br />criteria will include, Dut not be limited to me lowest GRAND TOTAL
<br />PRICE, corroded rf necessary for ertors in pace extension anNor
<br />atltlitidn, antl capability to meet me performance time requirements.
<br />The GRAND TOTAL PRICE w%~IV be used for comparing bids only.
<br />a. Combined single limit of $600,000 written on an
<br />occurrence basis;
<br />b. Any aggregate will not be less man St Million;
<br />c. The contractor must purchase additional
<br />insurance 'rf claims reduce me annual aggregate
<br />below $600,000;
<br />d. The State of Colorado must be named as
<br />additional inaured on each comprehensive
<br />general liability policy;
<br />e. Certificates of insurance must be provitled to me
<br />State wNhin 10 working days after receipt of
<br />Award; and,
<br />f. Insuance shall include provisions providing
<br />notification to me State 10 days prior to
<br />cancellation of me coverage.
<br />Automobile Liability (Minimum). The contrndor must carry
<br />a minimum of $600,000 combined single limit.
<br />The State of Colorado MUST be named as an Additional Insured on
<br />me certificate of insurance. An Additional Insured Endorsement
<br />amentling such policy or polides must be presented tome DMG prior
<br />to issuance of me Notice to Proceed. Bidders are advised to
<br />consult with their insurance carrier eonceming these
<br />requirements. Submit a bid only ff you are prepared tb complete
<br />these requiremeMS.
<br />WORK SCHEDULE
<br />After a Purchase Order has been issued, me PROJECT MANAGER
<br />will notify me Contactor. Under no dreumstances shall me
<br />CONTRACTOR begin work before a P.O. is iswed. If me Bitl
<br />Solidtation Memorandum specifies projed dates or a certain projed
<br />schedule, me successful bitlder shall pertom 1he',vrLt during me
<br />specifietl time penotl. DMG reserves me right to cancel me Pumhase
<br />Order if me (iJnladbr fails to begin me work as scheduled.
<br />6. ACCIDENT PREVENTION AND SAFET`I MEASURES
<br />The Contractor shall comply calm applicable provisions of OSHA Part
<br />1926, Conshuction Standards and Imerpretations, in effect on me
<br />date of the Bid Opening. The Contractor shall contlnuously maintain,
<br />at his expense, atlequate protection of me work and me. Principle
<br />Representative's property, and shall take all prncticable precautions
<br />in me interest of safety.
<br />Any shafts which were fenced poor to construction activities Shall be
<br />protected ~by a temporary fence during non-working hours, wimout
<br />relieving me Contractor of its legal or contractual duties ro take safety
<br />precautions. Other openings may be designated Dy me Project
<br />Manager as requiring fencing due to pro>amity of houses or visitation
<br />by tourists.
<br />Work may involve activities around unprotected hazardous mine
<br />shafts, slopes, atlits and omer openings which may be open to me
<br />surface or hidden from view by fresh, debris, vegetation, or min antl
<br />unstable layers of surficial materials or rock. The Contractor shall be
<br />responsible for morougMy irnestigating me site conditions and
<br />scheduling and directing his equipment, equipment operations,
<br />personnel and safety procedures to prevent accldents and injuries.
<br />Failure to comply will be cause for immediate suspension of me work.
