Kenneth Holum <br />General Manager <br />Lwestern Fuels Association, Inc. <br />1225 19th Street, N.W., Suite 700 <br />l~Tashington, D, C, 20036 <br />Dear Ken: <br />This letter represents Deseret Generation and Trans- <br />mission Co-operative's acknowledgment of the acceptability <br />of the terms and conditions of the "Socioeconomic Impact <br />i•iitigation Agreement for the 'Deserado t9ine', Bonanza <br />Station and Associated Facilities", recently negotiated <br />between Western Fuels-Utah and the respective governmental <br />entities, which agreement should be executed today. During <br />the negotiating period, you and I have been in continual <br />contact and I am well aware of the contents of the agreement <br />and the obligations undertaken by Western-Fuels, Utah, Inc. <br />Pursuant to the above referenced Socioeconomic Impact <br />Pitigation Agreement, and on behalf of Deseret, I will pur- <br />pose to the Deseret Board of Directors that the Mine Operating <br />and Construction Agreement (t40C) dated March 18, 1981, between <br />:western-Fuels and Deseret be amended to provide that the <br />obligations incurred by [•Jestern-Utah under the Socioeconomic <br />Impact Mitigation Agreement shall be "ISining Costs" as <br />defined in Section 2.1 of the MOC and "Fixed Costs" as defined <br />in Section 15.4 of the P10C.
