I1. The Coun, notwithstanding entry of this Order, shall retain jurisdiction for the <br />purposes set forth in the Plan and to the extent necessary to clarify, interpret and enforce the <br />temrs and provisions of this Order, the Plan and the Agreement. <br />12. In accordance with the Plan, and except as otherwise provided for in the Plan or <br />the Agreement, the Debtors' estates shall retain any claims, demands, rights and causes of action <br />that Debtors may hold against any person, provided however that pursuant to Article 9.7 of the <br />Plan, any Claim objections and Avoidance Actions shall 6e filed no later than ninety (90) days <br />following the Effective Date. <br />l3. Upon the entry of this Order and in accordance with Bankruptcy Rule 2002(f)(7) <br />t7~,. and 3020(e), the Debtors shall issue notice of confirmation of the Plan substantially in the form <br />annexed g,~,(c~as Ex~hibitrBs, as the same is hereby approved, upon all parties that received the <br />Plan and Disclosure Statement no later than ten (IO) business days after the Effective Date. -- <br />14. The Fehr settlement agreement discussed at page 51 of the Disclosure Statement, <br />a copy of which is attached to the Disclosure Statement as Exhibit C, and subsequently fully <br />executed as of May 1 I, 2004, (the "Fehr Se[tletnent Agreetent;'), is fair, equitable, reasonable <br />and of benefit to creditors and other parties in interest in these cases in accordance with I1 <br />U.S.C. § 1123(b)(3)(A). Acan~dingly, the terms of the Fehr Settlement Agreement arc hereby <br />approved in accordance with Fed. R. Bankr~,P. 90~.9(a), the Fehr Settlement Agreement is hereby <br />approved, and consistcnt with paragraphs and ~ f this Order, the parties to the Fehr Settlement ~~ <br />Agrecment are hereby authorized and directed to take all actions required or permitted therein, <br />including executing any required documents and making any payments required therein. <br />15. The settlement of the State Court Litigation, described at pages 45 to 47 in the <br />Disclosure Statement is hereby approved as fair, equitable, reasonable and of benefit to creditors <br />and other parties of interest in these cases in accordance with 11 U.S.C. § 1123(b){3}(A}. <br />Accordingly, the terms of the Settlement are hereby approved in accordance wish Fed. R. ankr. <br />P. 9019(a), the Settlement is hereby approved, and consistent with paragraphs S and fj~f this (~ ~ <br />Order, all patties to the State Court Litigation shall execute and deliver or join the execution and <br />delivery of any instrument required to effect the settlement of the State Court Litigation <br />contemplated under the Plan and the Agreement <br />Dated this ~fday of May, 2004 <br />BY Tkil: COURT: <br />A.
