~ ~ <br />I <br />INFORrLATION CONCERTIING DEBTORS <br />The following connections among Debtors are pertinent to and <br />support their jointly being represented by LeBoeuf: <br />7. Debtors are substantial enterprises principally <br />engaged in businesses involving the ownership, operation and <br />management of a steel production facility and related businesses <br />located fn Utah, New Mexico, Kansas, and Colorado. <br />B. CF6I Steel Corporation is the 1001 shareholder of <br />all o! the other Debtors (see Exhibit 1). Debtors have operated <br />and intend to continue to function as a unitary economic <br />enterprise operated for the benefit of the whole. <br />a. CFii Steel Corporation. CFi2 Steel <br />Corporation is a Colorado corporation (incorporated in 1936) <br />based in Pueblo, Colorado, having approximately 1,850 employees. <br />CF6I Steel Corporation is a nationally recognized producer of <br />high quality and high performance long-length and standard rails <br />and seamless oil country tubular goods. It is the only <br />manufacturer of such products located west of the Mississippi <br />River. CF6I Steel Corporation also manufactures wire and bar <br />products for various uses. It owns 1001 0! the shares of its <br />subsidiaries described below. The shares o! CFii Steel <br />Corporation are owned as follows: (i) approximately 35t of the <br />shares are owned by an Employee Stock Ownership Plan established <br />by CF4I Steel Corporation in 1987 in accordance with provisions <br />o! its 1986 labor agreement and (11) the remainder o! the shares, <br />approximately 65i, ars owned by the public.
