agreements, debt restructurings, and related <br />transactions; <br />(d) Reviewing the nature and validity of liens <br />asserted against the property of Debtors and <br />advising Debtors concerning the enforceability of <br />such liens; <br />(e) Advising Debtors concerning the actions that they <br />might take to collect and to recover property for <br />the benefit of Debtors' estates; <br />(f) Preparing on behal! of Debtors all necessary and <br />appropriate applications, motions, pleadings, <br />draft orders, notices, schedules and other <br />documents, and reviewing all pleadings to be filed <br />in these chapter 11 cases; <br />(q) Advising Debtors concerning, and preparing <br />responses to, applications, motions, pleadings, <br />notices and other papers which may be filed and <br />served in these chapter 11 eases; <br />(h) Counseling Debtors in connection with the <br />formulation, negotiation and promulgation of a <br />plan of reorganization and related documents; and <br />(i) Performing all other legal services for and on <br />behalf of Debtors which may be necessary or <br />appropriate in the administration of these <br />chapter it cases and their businesses. <br />The Debtors do not seek to employ Leeoeuf in litigation or other <br />matters for which they employ special counsel, as may be approved <br />by the Court from time to time. <br />23. Debtors require knowledgeable counsel to render <br />the above-described estential professional services. LeBoeuf's <br />legal expertise and LeBoeut's familiazity with the Debtors' <br />businesses makes LeBoeuf well qualified to represent the Debtors' <br />interests in these cases. <br />24. Subject to the Court's approval, LeBoeuf will <br />charge Debtors for its legal services on an hourly basis in <br />accordance with its ordinary and customary hourly rates for eases <br />it <br />
