<br />in all other respects. In t}~is connection, however, Sellers <br />hereby covenant and agree that Sellers will pay a]. I. bills <br />and accounts payab"le of said business accrued to the date of <br />closing as such bills and accounts payable become due and in <br />no event later. than thirty days subsequent to the date of <br />closing of this transaction. further, in this: connection, <br />Sellers hereby agree to hold harmless and indemnify Buyers <br />against any claim, injury, demand, liability or obligation <br />whatsoever resulting from or arising out of SeJ.]_ers' failure <br />to pay any such bills or accounts payable. <br />All accounts receivable of the business as of: the date <br />of closing hereof shall be and remain the property of Sellers <br />and Buyers shall have no obligation to collect any such <br />accounts in Sellers' behalf; provided that, if any such <br />accounts are paid to Buyers they shall forthcvith remit such <br />payments to Sellers. <br />10. Taxes. All sales or use taxes payable by rea:;on <br />of the sale of any of the assets of the business hereunder <br />shall be paid by Buyers and such payments shall not: be con- <br />strued as a part of the purchase price. All personal prop- <br />erty ad valorem taxes, payable by reason of the wi.thi.n sale <br />and purchase, shall be prorated by the parties hereto to <br />date of closing and the full amount thereof paid to the <br />Treasurer of Montrose County on date of closing. All real <br />property taxes shall be prorated and adjusted to i:he date of <br />closing. <br />X11. Covenant Not To Compete. As a further and addi- <br />tional consideration for entering into this agreement, <br />Sellers and Buyers agree to enter into thi: Covenant Not To <br />Compete annexed hereto as Exhibit C and incorporated herein <br />by reference. <br />12. Operation of Business. It is understood and <br />agreed that during the period from execution of this agr.ee- <br />ment until t}ie date of closing hereof, Sellers will continue <br />to operate the business in the same manner as it leas been <br />operated in the past.
