in all other respects. In t}~is connection, however, Sellers hereby covenant and agree that Sellers will pay a]. I. bills and accounts payab"le of said business accrued to the date of closing as such bills and accounts payable become due and in no event later. than thirty days subsequent to the date of closing of this transaction. further, in this: connection, Sellers hereby agree to hold harmless and indemnify Buyers against any claim, injury, demand, liability or obligation whatsoever resulting from or arising out of SeJ.]_ers' failure to pay any such bills or accounts payable. All accounts receivable of the business as of: the date of closing hereof shall be and remain the property of Sellers and Buyers shall have no obligation to collect any such accounts in Sellers' behalf; provided that, if any such accounts are paid to Buyers they shall forthcvith remit such payments to Sellers. 10. Taxes. All sales or use taxes payable by rea:;on of the sale of any of the assets of the business hereunder shall be paid by Buyers and such payments shall not: be con- strued as a part of the purchase price. All personal prop- erty ad valorem taxes, payable by reason of the wi.thi.n sale and purchase, shall be prorated by the parties hereto to date of closing and the full amount thereof paid to the Treasurer of Montrose County on date of closing. All real property taxes shall be prorated and adjusted to i:he date of closing. X11. Covenant Not To Compete. As a further and addi- tional consideration for entering into this agreement, Sellers and Buyers agree to enter into thi: Covenant Not To Compete annexed hereto as Exhibit C and incorporated herein by reference. 12. Operation of Business. It is understood and agreed that during the period from execution of this agr.ee- ment until t}ie date of closing hereof, Sellers will continue to operate the business in the same manner as it leas been operated in the past.
