Dear Rodney: i am now responding to your letter of March 15, 1990 addressing matters discussed in a meeting with yourself, Mark Steen, Charles Steen, 5r. and Richard Praeer. That meeting was held in your office on March 6. Above all, it ie the interest of Mr. and Mrs. Fraser that the mill b® placed in productive operation as soon as practic- able. This asset has been allowed to remain idle far too long. If i understand the contentions of Mark Steen correctly, he asserts the mill is permitted only to process ore associated with Gold Hill properties. While I have not confirmed this, it is my understanding thin refers to existing permits as restrictive and not permiting custom milling. If this be the case, perhaps some modification of the permits should be sought and obtained in order that custom millingcan proceed. In this way the mill can tecome operative and productive while awaiting availability of ors delivered from Gold Hill properties. Whatever agreements are reached, the parties to the agreements should be Mi Vida Eriterprisea; as general partner to the limited partnership, Gold Hill Ventures, and COM, Inc., owner of the mill. Contract arrangement between CCM, Inc. and Mi Vida as general partner, should cover substantially all those matters comFrehended within the draft contract i previously prepared and forwarded to you subject "Contract for Ore Processing." Whatever provisions are made with respect to the operation of the mill, they should include a provision for the operation as a custom milling operation to produce revenue on a continuing basis when not milling ore delivered through Mi Vida.
