The purpose of <br />this letter is to inform you about the change in ownership of <br />Sundance Coal Company, a Colorado corporation ("Sundance Coal"). <br />A copy of Permit No. C-OSS-082 issued to Sundance Coal concerning <br />mining operations at the Animas Mine is attached for your <br />reference. ~- <br />At the time the permit for the Animas Mine was issued, <br />Sundance Coal was a wholly-owned subsidiary of Sundance Oil and <br />this fact was reflected in the permit application. On <br />December 22, 1984, Sundance Coal was sold to RVK Holding Company, <br />an Arizona corporation ("RVK"), pursuant to a Stock Purchase <br />Agreement dated as of September 14, 1984. It is our <br />understanding that RVK was subsequently merged into Sundance Oil <br />Exploration Company, a Colorado corporation. Sundance Coal <br />continues to be the operator of the Animas Mine. The permit for <br />the Animas Mine was issued to Sundance Coal and the bond was <br />posted by Sundance Coal. Accordingly, we understand that Sundance <br />Oil has no liability with respect to reclamation obligations for <br />the Animas Mine. We are submitting this letter to keep current <br />the information in your file regarding ownership of the Animas <br />Mine.
