Miscellaneous mining inventory located at the Nucla airport hangar: <br />Butler Building located at the Nucla airport. <br />1961 GMC truck -VIN #V4008PN17412E. <br />5. With respect to the mining leases identified above as C-JD-S, C-SR-13 and <br />C-SR-15, the Baldwins agree to complete the assignment of all of these mining leases and <br />satisfy all requirements of the Department of Energy. The parties acknowledge that, prior <br />to this Agreement, Blake had filed with the Department of Energy performance bonds <br />concerning these mining leases. Biake agrees to allow these performance bonds to <br />remain with the Department of Energy until the mines are leased, sold, assigned, placed <br />in production or upon submission of an Exploration Plan or Mining Plan as defined in the <br />Lease Agreement with the Department of Eriergy. The Baldwins agree to comply with all <br />requirements of the Department of Energy or the State of Colorado to ensure that the <br />performance bonds are released to Blake as stated in this paragraph of the Agreement. <br />The Baldwins agree to hold Blake harmless and will indemnify Blake for any claims, costs <br />or expenses which arise from these mining leases. <br />6. In consideration of the conveyance of the mining leases, fhe Baldwins agree <br />to pay Blake $550.00 as reimbursement for the MLRD annual fees for 1996 and 1997 on <br />the C-JD-5 mining property. A check in the amount of $550.00 will be paid to Blake when <br />this Agreement is signed. <br />7. The Baldwins agree to execute an Acknowledgment of the Satisfaction of <br />Judgment to be filed in the District Court of Montrose County, Colorado and the Clerk and <br />Recorder of Montrose County, Colorado. This Acknowledgment is attached as Exhibit 8. <br />8. In consideration of the performance by Blake recited in paragraphs 4, 5 and <br />6, the Baldwins, for themselves, their heirs, successors, representatives, and assigns, <br />releases Blake, her heirs, successors, representatives, agents, insurers, attorneys, <br />partners and assigns from any and aA claims, demands, damages, costs, liabilities, losses, <br />2 <br />
