<br />no c, which he/they may have against Sun Coal, and hereby agrees to indemnify and <br />hold Sua Coal harmless from any and all liability claims, judgments, costs, <br />expenses and attorney's fees incurred by Sun Coal as a result of any person <br />asserting any such assignment or transfer of any rights or claims under such <br />assignment or transfer. <br />4. Eilta hereby re-affirms Sun Coal's full and unhindered rights of <br />access through all entrances historically used by Sun Coal into and across the <br />Leased Premises already granted to Sun Coal pursuant to the terms of the Lease <br />and tl~e Stipulation, and further agrees to allow said complete and free access <br />to Plaintiff, its employees, assigns, sublessees, independent contractors, <br />business invitees, and state and federal inspectors pursuant to the tezms of and <br />for all purposes alloyed by the Lease and the Stipulation. <br />S. Silts hereby expressly agrees to indemnify and hold Sun Coal harmless <br />from any and all liability, loss, cost and damage, including, but not Limited <br />to, attorney's fees, expenses sad costs, vh'.rr. Sun Coal may suf_`er or incur as a i <br />result of any claims, demands, fines, penalties, costs o: judgments against it <br />arising from or as a result of say changes, modifications, alterations or <br />additions made by or oa behalf of Silts to the Road, or any part or portion of <br />the Rnad, or to the drainage system constructed in, near or around the Road, or <br />any part or portion of the drainage system, existing as of the date of execution <br />of this Settlement Agreement and Aeiease. <br />Zndemai.ty under this Set clement Agreement and Release shall commence upon <br />execution hereof sad sha'_1 continue in ful'_ force and a=_ecc until the later to <br />occur of the following two events: .(1) the release is full of the entirety o: <br />Sun Coal's surety bond posted yith the N3.?lD and receipt by Sun Coal of wriccsa <br />not'_fication that the 'II.RD has re'_eased Sun Coal from any and all further <br />obligation or liability for anything having to do c:ith the Leased Premises, or <br />(2) complete and final termination of the Lezse and the Stipulation. <br />6. Silts hereby agrees to fu'_ly compe^s ate and resburse Sun Coal fcr aii <br />costs, damages and expenses incurred by Sun Coal as a result of any changes, <br />modifications, alterations or additions made by or on beha'_` of Silts to the <br />Road, or any part or portion of the Road, or co the drainage system constructed <br />in, near or around the Road, or any pare or portion of the drainage system sad <br />its constituent parts, existing as of the dzte of execution of this Settlement <br />Agreement and Release. <br />
