01/26/01 F1tI <br />III 111111111 ~'ll llh4 <br />999 <br />()()~ <br />t <br />.a <br />FOUR CORNERS MATERIALS, INC. <br />Ouranga Construction o Mountain Gravel o Vagosa Materials o San Juan Materials <br />January 25, 2001 <br />Ms. Sandra Pautsky <br />Oakridge Energy, lnc. <br />4613 Jacksbaro Ktghway <br />Wichita Falls, TX 763D2 <br />REFERENCE.: Ewing Mesa Gravel Pit Agrecmeat Extcasion <br />Dear Sandra, <br />Following the conclusion of our recent negotiation, I offer you this avrilten understanding of the details of <br />our agreement for the 5ve year extension of the Ewing Mesa Gravel Pit. <br />Four Comers Materials will complete the reclamation (including permitting, repottittg, and bonding) <br />remaining at the Carbon Junction Coal Mine in a manner and timGframe that is acceptable to the Colorado <br />Division of Mnerals and Geology. In exchange for completinK this reclamatioq Oakridge Energy will either <br />pay or allow a royalty credit of $413,000.00 to Four Corners Materials. Four Comers Materials asks that <br />Oakridge Energy maintain the North Coal Mine's technical revision status. This allows the area to be <br />reclaimed for future development as planned, and not reclaimed to a state of post-coal mine standards. <br />Fuw Comers Materials will assume responsibility for the existing and future permitting requiremerrta fnr the <br />Ewing Mesa Gravel Pit. <br />Four Corners Materials will construct the alternate access road to the future Ewing Mesa development for <br />Oakridge Energy with a cap on the construction cos[s of $1,OOD,000.00. The proposed road will be built <br />with the necessary drainage provisions, a subgrade width of 40', and 2 lanes of base gravel 6" deep. <br />Oakridge Energy will engineer the ahernate access roadway (i.e design and permitting). <br />The gravel royalty and amount of the site lease will remain at the currerd values through the term of the <br />extension. <br />Future gravel mining, after the area to the east of the existing gravel pit has been depleted, will be located in <br />an adjacent area mutually agreed to by Oalvidge Energy and Four Comers Materials. <br />Oaktidge Energy will grant Four Comers Materials exclusive roadway access to the adjacent BLM property. <br />if you should have any questions, please contact meat our Durango office at (970) 247-2172. <br />Sincerely, <br />Victor ABoren, PE <br />Chief Operating OlGcer <br />P.O.
